The plain-English terms that apply to every Wolfgramm Holdings module and engagement.
These terms apply to every module and engagement we deliver. In this document you won't find any complicated legal terms or long passages of unreadable text — we have no desire to trick you into signing something you might later regret. What we want is what's best for both parties, now and in the future.

Description of Work
We'll always do our best to fulfil your needs and meet your expectations, but it's important to have things written down so that we both know what's what, who should do what and when, and what will happen if something goes wrong.
1A. Total time WH is available to your organisation's nominated lead prior to, during, and post engagement of this cultural module.

Displaying Our Work
We love to show off our work, so we reserve the right to display all aspects of our creative work. This includes programme development, video content, audio, or work-in-progress and completed projects. This may also include your organisation's portfolio and logo, and articles on websites, TV, radio, and podcast shows to promote our business.

Delivery of the Module
WH's preference is to deliver all facets of this cultural experience face to face. Relevant video content will be recorded and delivered so it may be used as an effective reporting tool post-event.

Travel Conditions
- 0–50kms Auckland CBD — no additional investment.
- Day trip out of Auckland — travel by vehicle to and from destination, $1.04 per km.
- North Island, overnight — travel by vehicle to and from destination, $1.04 per km, plus accommodation; or travel by flight, plus accommodation and taxi fares.
- South Island, overnight — airfares, rental car, accommodation, and taxi fares.

Changes and Rescheduling
Given the ever-changing landscape around COVID-19, testing, and scheduled bookings, WH's preference is to deliver all modules as a face-to-face activity. However, in the event of any future highly transferable virus contaminating the community, WH will reschedule this module to meet conditions of normality and safety. Two weeks prior to the scheduled booking, it is your organisation's responsibility to confirm with WH that your booking date is still going ahead as agreed. This is a non-refundable booking.

Tangi
The WH representative reserves their cultural right to reschedule an organisation's booking date within 48 hours if there is a death in the WH whānau or a WH representative's whānau.

Intellectual Property Rights
You guarantee that all elements of text, images, or other artwork you provide are either owned by your organisation or that you have permission to use them, and that none of it infringes a third party's intellectual property. We guarantee that all elements of the work we deliver to you are either owned by us or that we've obtained permission to provide them to you, and we agree to protect you from any claim that you are using a third party's intellectual property without permission.
We'll own any intellectual property rights we've developed prior to and during our engagement, or developed separately from this project — including any newly generated content that benefits the modules and your organisation. We'll own the unique combination of these elements within our Phase 1 Modules. We may license aspects of these models to you exclusively and in perpetuity, unless a WH representative agrees otherwise.

Payment Schedule
Once an engagement date has been chosen by the client, the following schedule is activated.

Under $100,000 + GST
Immediate and full payment.

Over $100,000 + GST
- Payment #1 — 60% upfront.
- Payment #2 — 20% required 3 months after the upfront invoice is paid.
- Payment #3 — 20% required after the Payment 2 invoice is paid.

Over $500,000 + GST
- Payment #1 — 60% upfront.
- Payment #2 — 30% required 3 months after the upfront invoice is paid.
- Payment #3 — 10% required after the Payment 2 invoice is paid.
